United Global Trading Corp. (UGTC) is built upon a strong foundation of ethical principles, professionalism, and a commitment to excellence. We have high expectations of our suppliers, vendors, contractors, consultants, and other business partners (“Suppliers”) who play a vital role in our operations and our ability to deliver exceptional products and services worldwide.

The Supplier Code of Conduct outlines the ethical standards and principles we expect our Suppliers to adhere to in all dealings related to UGTC. These principles are aligned with our core values, known as (T.R.A.D.E.) – Trust, Relationships, Adaptability, Diversity, and Excellence. These values shape our corporate culture and guide our actions every day.

By adhering to this Supplier Code of Conduct, our suppliers help us to uphold our reputation for integrity and our commitment to a positive impact on the environment and society. This mutual commitment contributes to a more transparent, fair, and sustainable global marketplace.

Introduction and Purpose

United Global Trading Corp. (UGTC) is committed to conducting business in an ethical, responsible, and lawful manner. This Supplier Code of Conduct (“Code”) sets forth the standards and principles that UGTC expects all suppliers, vendors, contractors, consultants, and other business partners (“Suppliers”) to adhere to in all dealings related to UGTC.

This Code is guided by our core values – Trust, Relationships, Adaptability, Diversity, and Excellence (T.R.A.D.E.) – which form the foundation of our corporate culture.

Scope and Applicability

This Code applies to all Suppliers associated with UGTC. We expect all our Suppliers to embrace the principles outlined in this Code, ensure their employees, agents, and subcontractors understand and comply with these expectations, and to promote these standards in their own supply chains.

Ethical Principles and Core Values

Suppliers are expected to operate in line with the T.R.A.D.E core values that guide UGTC:

Trust: Suppliers must conduct all business interactions with UGTC and other stakeholders with integrity and transparency, fostering a reliable and trustworthy relationship.

Relationships: Suppliers are expected to cultivate strong, enduring relationships within their supply chains, communities, and with UGTC, ensuring the continuous delivery of high-quality products and services.

Adaptability: Suppliers should be agile and resilient, adapting to changing market conditions, technology advancements, regulatory requirements, and societal needs.

Diversity: Suppliers must value and promote diversity and inclusion in their workforce and business relationships. We believe diverse perspectives lead to innovative solutions and a more successful partnership.

Excellence: Suppliers must strive for high standards in all areas, including product quality, service delivery, and operational efficiency. We expect our Suppliers to consistently deliver exceptional value.

Legal Compliance

All Suppliers must comply with all local, national, and international laws and regulations applicable to their business operations. This includes, but is not limited to, laws related to labor, human rights, environment, health and safety, import/export, customs compliance, and fair competition.

Labor Practices and Human Rights

UGTC expects its Suppliers to respect and uphold human rights and fair labor practices. This includes providing equal employment opportunities, maintaining a workplace free of discrimination and harassment, prohibiting child labor, forced labor, and respecting workers’ rights to freedom of association and collective bargaining.

Health, Safety, and Environment

Suppliers must provide a safe and healthy working environment for their employees, complying with all applicable health and safety laws and regulations. Additionally, Suppliers should minimize their environmental impact by adhering to sustainable practices and complying with environmental laws and regulations.

Business Integrity and Fair Competition

Suppliers must conduct their business with integrity, avoiding any forms of corruption, bribery, or unethical practices. This includes compliance with all anti-bribery and anti-corruption laws, fair competition laws, and maintaining accurate and transparent financial records. Suppliers should not engage in any form of anti-competitive behavior such as price-fixing or market manipulation.

Confidentiality and Intellectual Property

Suppliers must respect and protect the confidential information and intellectual property rights of UGTC and others. This includes adhering to contractual obligations related to confidentiality and nondisclosure, and respecting patents, copyrights, trademarks, and trade secrets.

Reporting

Suppliers are encouraged to report any suspected violations of this Code, or any unethical or unlawful behavior related to UGTC business. Suppliers can contact UGTC’s Compliance Officer or use the company’s anonymous reporting channel. UGTC is committed to non-retaliation and will take steps to protect the confidentiality of anyone reporting a concern.

Compliance and Monitoring

UGTC reserves the right to assess and monitor Suppliers’ compliance with this Code. This may involve audits or inspections, either by UGTC or a third-party representative. If a Supplier fails to comply with this Code, UGTC may terminate the business relationship or require the Supplier to implement a corrective action plan.

Acceptance and Acknowledgement

All Suppliers must accept and acknowledge this Supplier Code of Conduct as part of their contractual agreement with UGTC. Suppliers are expected to implement management systems and controls to ensure compliance with this Code, and to promote similar principles within their own supply chains.

Updates and Revision

UGTC may revise this Code as necessary and will communicate any significant changes to Suppliers. It is the responsibility of the Suppliers to stay informed about any updates to this Code and ensure compliance.

By adhering to this Supplier Code of Conduct, our suppliers play an essential role in helping UGTC maintain its commitment to ethical and responsible business practices. Together, we can contribute to a fair, sustainable, and transparent global marketplace.
